Definitions
In these Terms:
- "Notepad.exe," "we," "us," or "our" refers to the provider and owner of the Software.
- "Software" means the Notepad.exe application and related services.
- "User," "you," or "your" refers to the individual or entity using the Software.
- "Polar" refers to Polar Software Inc., our third-party payment service provider.
License Grant
Upon purchase of a perpetual license, we grant you a perpetual, non-transferable, non-exclusive license to use the Software on your macOS devices, subject to these Terms. This license includes:
- All updates within the major version purchased (e.g., if you purchase v1, you receive all v1.x updates).
- This license does not include updates to future major versions.
- Optionally renewable updates available thereafter.
- The license can be activated on up to 3 devices simultaneously for the same user.
For annual subscriptions, we grant you a non-transferable, non-exclusive license to use the Software for the duration of your paid subscription period only. Access to the Software will be terminated upon cancellation or if payment fails. The subscription can be activated on up to 3 devices simultaneously for the same user.
Device Activation and Management:
- The Software will verify device activation status when internet connectivity is available.
- If you attempt to activate the Software on more than 3 devices simultaneously, the oldest or least recently used activation may be automatically deactivated.
- You may manually deactivate devices through your account settings to manage which 3 devices have active licenses.
- We reserve the right to monitor activation patterns for abuse and may temporarily or permanently revoke activation privileges if systematic abuse is detected.
Educational License
The Software is available free of charge for educational purposes:
- Students, teachers, and educational institutions may use the full version of the Software at no cost.
- Educational users must verify their status through email verification to [email protected].
- The educational license is provided as an annual subscription with 100% discount.
- The subscription will automatically renew at the regular annual subscription price unless cancelled or re-verified for another educational discount.
- Users may cancel the subscription at any time through the Polar customer portal while maintaining access for the remainder of the subscription period.
- Educational licenses include all features of the paid version.
- The Software may only be used for educational, non-commercial purposes.
- Educational institutions may install the Software on institution-owned devices used for teaching and learning.
- Users must re-verify their academic status annually to maintain the free educational discount.
Upon graduation or termination of academic affiliation, users may continue using the Software by either purchasing a regular subscription or re-applying if they maintain academic status in another capacity.
Pricing and Payments
All prices are listed in USD. We reserve the right to change prices for new purchases at any time. For existing subscribers, price changes will be communicated via email to the address associated with your account before taking effect, and in accordance with applicable laws. By continuing to use the Software after such changes, you accept the new pricing terms.

Free Tier
A free tier of the app is available with access to a defined subset of features. This free tier can serve as a way to try most of the app's functionality before purchasing a paid license.
Software Features
- Features may be added, improved, modified, or discontinued as part of ongoing product development. We will provide notice of material feature changes through in-app notifications, email communications, or release notes. Core functionality of the paid version will not be substantially reduced during your current paid license period.
- Free tier users will have access to a defined subset of features as listed on the official product page.
System Requirements
- The Software requires the latest version of Xcode to be installed on your computer.
- The Software requires macOS 15.0 (Sequoia) or later.
- Internet connection is required for license activation and certain features.
Support and Updates
- Support is available for the purchased version as long as it remains the latest major version.
- Continued support and updates for newer major versions require an active update subscription.
- We reserve the right to limit support for older versions that are not the latest major version.
- Support does not cover issues caused by third-party software, outdated systems, or modified environments.
Compatibility and Warranty Disclaimers
General Disclaimer: THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. NOTEPAD.EXE DOES NOT WARRANT THAT THE SOFTWARE WILL FUNCTION UNINTERRUPTED, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.
Intellectual Property Disclaimer: NOTEPAD.EXE DOES NOT REPRESENT OR WARRANT THAT THE SOFTWARE WILL NOT INFRINGE ANY PATENT, COPYRIGHT, TRADEMARK, TRADE SECRET, OR OTHER INTELLECTUAL PROPERTY RIGHT OF ANY THIRD PARTY.
Security Disclaimer: WHILE NOTEPAD.EXE IMPLEMENTS REASONABLE SECURITY MEASURES, WE CANNOT GUARANTEE THAT THE SOFTWARE WILL ALWAYS BE SECURE OR FREE FROM SECURITY VULNERABILITIES.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NOTEPAD.EXE AND ITS AFFILIATES, DIRECTORS, EMPLOYEES, DISTRIBUTORS, SUPPLIERS, AGENTS, AND RESELLERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
IN NO EVENT SHALL NOTEPAD.EXE'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO NOTEPAD.EXE IN THE LAST SIX (6) MONTHS, OR, IF GREATER, ONE HUNDRED DOLLARS ($100).
Intellectual Property Rights
The Software, including all code, content, graphics, user interfaces, and other intellectual property, is owned or licensed by Notepad.exe and is protected by copyright, trademark, patent, and other intellectual property laws.
Any output or content created by you using the Software (such as documents, images, or other creative works) belongs to you or its respective owner.
Restrictions: You may not modify, adapt, translate, or create derivative works based upon the Software; reverse engineer, decompile, or disassemble the Software; or use the Software to build a competitive product.
Termination
We reserve the right to terminate your license immediately if you breach any material provision of these Terms. You may terminate these Terms at any time by ceasing all use of the Software and deleting it from all devices.
Upon termination, your license to use the Software will immediately terminate, and you must cease all use of the Software.
Refund Policy
All refunds are processed by Polar, our payment service provider. Refunds are only available to purchasers of the perpetual license and must be requested within 4 days of purchase. Annual subscriptions are not eligible for refunds.
For perpetual license purchasers, you may request a refund if:
- The software does not perform its core functionalities as advertised.
- You have not activated the software license on more than one device.
- You have made reasonable efforts to resolve the issue with our support team.

Data Privacy and GDPR Compliance
Our collection and handling of personal data is governed by our Privacy Policy. If you are located in the EU/EEA, you have certain rights under GDPR, including rights to access, rectification, erasure, and data portability.

Dispute Resolution
Before filing a claim against Notepad.exe, you agree to try to resolve the dispute informally by contacting us at [email protected]. Both parties agree to negotiate in good faith for at least 30 days before proceeding to formal dispute resolution.
If the dispute cannot be resolved informally, you and we agree to resolve any disputes through binding arbitration administered by the Court of Arbitration at the Polish Chamber of Commerce in Warsaw, Poland.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of Poland, without giving effect to any principles of conflicts of law. Any dispute arising from or relating to these Terms or your use of the Software shall be subject to the exclusive jurisdiction of the courts located in Warsaw, Poland.
